Terms & Conditions for Nodask (Beta)

Effective Date: June 21, 2025

1. Overview

By using Nodask (Beta), you agree to these Terms and all applicable policies.

2. Beta Disclaimer

Nodask is in beta; features may be unstable and the service is provided “as-is” with no warranties.

3. Accounts & Access

• Sign up via valid email and Convex authentication
• Keep login credentials confidential
• You’re responsible for all actions taken through your account

For team/organization accounts, admin rights grant control over the account.

4. Infrastructure Notice

We rely on Vercel, Fly.io, and Convex, all of which process data only to support app functionality under secure agreements.

5. Intellectual Property Rights

All IP in Nodask—source code, UI/UX design, features, branding—is owned by the original developers and protected by copyright, trade secret, and unfair competition laws.
You may not:

• Copy, reproduce, distribute, modify, or reverse-engineer the app
• Use our trademarks or branding without permission
• Disclose or share beta-exclusive features

Feedback you submit may be used to improve Nodask without compensation or ownership rights.

Upon future incorporation, all IP rights will be formally assigned to the new legal entity.

6. Acceptable Use

You agree not to:

• Use the platform for illegal or abusive activities
• Upload malicious code or attempt unauthorized access
• Harass or harm other users

We reserve the right to suspend or terminate accounts for violations.

7. Termination & Deletion

• You may close your own account at any time
• Soft-deleted content remains recoverable for 30 days
• We may suspend/terminate accounts for policy violations or inactivity (12+ months)

8. Limitation of Liability and Indemnification

To the fullest extent permitted by law, we disclaim warranties and liability for:

• Indirect or consequential damages
• Service interruptions or data issues
• Security incidents during beta

You agree to indemnify us for claims arising from your misuse of the service.

9. Modifications

We may update these Terms during development. You’ll receive notice of material updates via email or in-app. Continued use confirms acceptance.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of California, without regard to its conflict of laws provisions. Disputes are subject to the exclusive jurisdiction of California state and federal courts.
